License Terms

This license governs your use of the SyntaxKit - SaaS Starter Kit source code, documentation, and any future updates we ship to it (collectively, the “Kit”). By purchasing or otherwise obtaining the Kit you agree to these terms. The Kit is provided by Marshal Solutions FZ-LLC, the operator of SyntaxPath.

1. Plans & what each license covers

Each purchase grants the buyer a non-exclusive, non-transferable, worldwide, perpetual license to use the Kit as described below. The license attaches to the developer (or organisation) named at checkout.

  • Solo - one named developer. Use the Kit to build any number of your own personal and commercial products. You may deploy as many instances as you like, as long as you are the sole developer modifying the source. Solo does not include client work - upgrade to Agency for that.
  • Studio - up to five developers within one organisation, plus unlimited personal, commercial, and team projects. Suitable for small product teams who need to share the Kit internally on their own products. Studio does not include client work - upgrade to Agency for that.
  • Agency - up to ten developers within one organisation, plus unlimited use in client projects (in addition to personal, commercial, and team projects). You may build, deliver, and white-label projects derived from the Kit on behalf of paying clients. Each client deliverable must be treated as a distinct end-product (see §3).

2. What you may do

  • Modify, fork, and extend the Kit's source code in any way you need to build derivative products.
  • Use it commercially. Charge anything you like for the products you build with it; we take no revenue share.
  • Deploy the Kit privately to staging, preview, and production environments owned or operated by the licensee.
  • Reuse individual components, hooks, schemas, and utilities in unrelated codebases owned by the same licensee.

3. What you may not do

  • No resale or redistribution of the Kit itself. You may not sell, sublicense, or give away the Kit (or a substantially unmodified derivative of it) as a starter kit, boilerplate, template, course material, or competing product.
  • No public source mirrors. Do not publish the Kit's source - in whole or in substantial part - to any public repository, paste-bin, gist, or AI training dataset.
  • No license sharing. Do not share your purchase across multiple developers or organisations beyond the seat count of your plan. Need more seats? Upgrade or contact us at support@syntaxpath.com.
  • No removal of attribution headers embedded in the source where present, except inside the compiled / minified output that ships to your end-users.

4. Updates & access

Your license includes lifetime access to future updates of the Kit for the lifetime of the product (i.e., for as long as we continue to publish updates). Updates are delivered via the same private GitHub repository you were granted access to at checkout. Loss of access due to a breach of these terms does not entitle you to a refund.

5. 30-day refund

We offer a 30-day refund, no questions asked. If the Kit isn't a fit for any reason within 30 days of purchase, email support@syntaxpath.com with your order id and we'll refund in full and revoke access. After 30 days the sale is final.

6. Warranty disclaimer

The Kit is provided “as is”, without warranty of any kind, express or implied - including merchantability, fitness for a particular purpose, and non-infringement. You are responsible for evaluating whether the Kit is appropriate for your use case and for operating any deployment derived from it.

7. Limitation of liability

To the maximum extent permitted by law, Marshal Solutions FZ-LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Kit. Our total cumulative liability under any theory shall not exceed the amount you paid for the license.

8. Termination

This license terminates automatically if you breach any of its terms. On termination you must cease all use of the Kit, delete all copies in your possession, and remove the source from any repository under your control. Sections 6, 7, and 9 survive termination.

9. Governing law

These terms are governed by the laws of the United Arab Emirates, where Marshal Solutions FZ-LLC is registered (Marshal Solutions FZ-LLC, VUPR0628 Compass building - Al Hulaila, AL Hulaila Industrial Zone-FZ, Ras Al Khaimah, United Arab Emirates). Any dispute that cannot be resolved amicably will be brought before the competent courts of that jurisdiction.
